Terms and Conditions

These Terms and Conditions ("Terms") govern the provision of services by Nexvorian Digital, operated by Usman Ahmed, a sole trader (trabalhador independente) registered for tax purposes in Portugal under NIF 293300267 ("Nexvorian Digital", "we", "us", "our"), to any individual or business ("Client", "you") that engages our services.

By requesting a quote, placing an order, making a payment, or otherwise engaging Nexvorian Digital, you agree to be bound by these Terms. If you do not agree, please do not use our services.

Nexvorian Digital provides digital services, which may include:

• Website design and development (Basic, Business, and Premium packages)
• Social media management and content creation
• Meta (Facebook/Instagram) and Google Ads campaign management
• Search Engine Optimization (SEO)
• Logo design and basic branding
• Google Business Profile setup and optimization
• Menu and digital menu design
• Website hosting, maintenance, and minor updates

The specific scope, deliverables, and price for any service will be confirmed in a quote, proposal, invoice, or written agreement ("Order") before work begins. These Terms apply to every Order unless we agree otherwise in writing.

2.1 All prices are quoted in Euros (€) and may be subject to change. The price confirmed in your Order is the price that applies to that Order.

2.2 One-time services (e.g. website design, logo/branding, Google Business Profile setup, menu design) require a deposit before work begins. The remaining balance is due upon completion, before final files, access credentials, or the live website are handed over.

2.3 Monthly/subscription services (e.g. social media management, ads management, SEO, website maintenance) are billed on a recurring monthly basis, in advance, unless otherwise agreed. The first payment confirms your Order.

2.4 Advertising spend is separate from our management fee. For Meta Ads and Google Ads management, the monthly fee covers our management of your campaigns only. Any advertising budget spent directly with Meta, Google, or other ad platforms is paid separately by the Client, directly to those platforms (or as otherwise agreed).

2.5 Late payments may result in a pause of ongoing services (such as social media management, ads management, SEO, or website maintenance) until payment is received. We are not responsible for any loss, missed post, or campaign interruption resulting from a payment delay.

2.6 Accepted payment methods will be confirmed at the time of your Order.

3.1 Estimated timelines will be shared at the start of a project but are not guaranteed, as they depend on factors including the scope of work and how quickly the Client provides feedback, content, and approvals.

3.2 The Client agrees to provide, in a timely manner, any content, information, images, logins, or access needed for us to deliver the service (for example: text, photos, brand guidelines, domain/hosting access, or social media account access).

3.3 Delays caused by the Client (late feedback, missing content, delayed approvals, etc.) may extend the project timeline accordingly, and Nexvorian Digital is not responsible for such delays.

4.1 One-time projects (such as websites, logos, or menus) include a reasonable number of revision rounds, as specified in your Order or quote.

4.2 Additional revisions beyond what is included, or changes requested after a project has been marked complete and approved by the Client, may be billed separately at our standard rate.

5.1 Upon full and final payment, ownership of the final deliverables (e.g. website files, logo files, designed content) created specifically for the Client transfers to the Client, except where third-party assets (such as licensed stock photos, fonts, plugins, or templates) are used, which remain subject to their own licensing terms.

5.2 Until full payment is received, all work remains the property of Nexvorian Digital and may not be used, published, or distributed by the Client.

5.3 Nexvorian Digital reserves the right to showcase completed work (e.g. website screenshots, social media designs, before/after examples) in its own portfolio, website, and marketing materials, unless the Client requests otherwise in writing.

6.1 Some services depend on third-party platforms we do not own or control, including but not limited to Meta (Facebook/Instagram), Google (Ads, Search, Business Profile), domain registrars, hosting providers, and website builders.

6.2 Nexvorian Digital is not responsible for outages, policy changes, account suspensions, algorithm changes, or price changes made by these third-party platforms, and cannot guarantee their availability or performance.

7.1 While Nexvorian Digital uses professional, good-faith efforts to deliver quality results, we do not guarantee specific outcomes such as a particular number of followers, leads, sales, website visitors, search engine ranking, or ad performance. Results depend on many factors outside our control, including market conditions, competition, and platform algorithms.

7.2 Any figures, examples, or projections shared with the Client are estimates only and not a guarantee of performance.

8.1 One-time services: Deposits are non-refundable once work has begun, as they cover time and resources already allocated. If the Client cancels before work begins, the deposit may be refunded at our discretion, minus any costs already incurred.

8.2 Monthly/subscription services: The Client may cancel at any time by providing at least 30 days' written notice before the next billing date. Payments already made for the current billing period are non-refundable, but no further payments will be charged after cancellation takes effect.

8.3 Nexvorian Digital reserves the right to terminate services for non-payment, abusive conduct, or breach of these Terms, with written notice to the Client.

Both parties agree to keep confidential any non-public business information shared during the course of the engagement (such as business strategy, login credentials, or financial information), and to use it only for the purpose of delivering the agreed services.

To the maximum extent permitted by law, Nexvorian Digital's total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific service giving rise to the claim. Nexvorian Digital shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, loss of data, or loss of business opportunity.

Nexvorian Digital processes personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable Portuguese data protection law. Personal data provided by the Client will only be used to deliver the agreed services and will not be shared with third parties except where necessary to provide the service (e.g. ad platforms, hosting providers) or as required by law.

Nexvorian Digital shall not be held liable for any delay or failure to perform its obligations resulting from causes beyond its reasonable control, including but not limited to internet or platform outages, natural disasters, or other events of force majeure.

We may update these Terms from time to time. The updated version will be posted on our website with a revised "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Portugal. Any dispute arising from these Terms or our services shall be subject to the exclusive jurisdiction of the Portuguese courts, without prejudice to any mandatory consumer protection rights the Client may have under applicable law.
